The Cultural Exchange Foundation toTU toTAM has been operating since 2010. Our activities focus on three key issues:
interculturality, human rights and health. We work intergenerationally for children, youth and adults. Our goal is a better, more empathetic world co-created by civil society.

Founder and president of the Cultural Exchange Foundation toTU toTAM. Manager of intercultural projects and educational initiatives. Graduated in Religious Studies and studied Cultural Studies (Latin American Studies with Spanish and Portuguese) at the Jagiellonian University. Graduated in English Philology from the University of Rzeszów and postgraduate studies in management of non-governmental organizations in the European Union at the University of Silesia. Participant of the first edition of the program of the Ministry of Foreign Affairs of the Republic of Poland "Polish Aid Volunteering 2008" in the state of Chiapas in Mexico. Spent a total of 16 months in Chile and Mexico. Scholarship holder of the Grundtvig internship program in Athens, Greece. Organized 4 editions of the Brave Kids project in Przemyśl and implemented several international partner projects as part of the Grundtvig and Erasmus+ programs. Teacher of Spanish and English. Member of the Przemyśl Women's Council. Mom of Zosia. She belongs to the “cutie” gang. A dream to fulfill: creating a unique, ecological educational space on the map of Przemyśl open to diversity. Born and raised on the border of Upper Silesia and Zagłębie. A happy resident of Przemyśl for a dozen or so years.

Dr. Paweł Trefler, prof. PWSW, EMBA

Vice President of the Cultural Exchange Foundation toTU toTAM. Strategy, management and media relations specialist. Graduate of Political Science and Cultural Studies (specialization: Latin American Studies) at the Jagiellonian University. Doctor of Humanities in Political Science (Jagiellonian University). Graduate of the Executive Master of Business Administration at Collegium Humanum & Apsley Business School in London. Scholarship holder of The Ryoichi Sasakawa Young Leaders Fellowship Fund. Research internships at Universidad Diego Portales (UDP) in Chile and Universidad Autónoma de Querétaro (UAQ) in Mexico. Participant of the 1st edition of the Polish Ministry of Foreign Affairs program "Polish Aid Volunteering" in the state of Chiapas in Mexico. In the years 2014-2020, editorial secretary of the journal "Anuario Latinoamericano - Ciencias Políticas y Relaciones Internacionales". Member of the Polish Society of Latin American Studies, the Polish Society of Political Sciences and the Society of Friends of Science in Przemyśl. He also worked in the national media and non-governmental organizations. Organizer of numerous cultural, social and scientific events in Przemyśl. Since 2016, Rector of the State Higher School of Eastern Europe in Przemyśl (PWSW). Curious about the world, a lover of traveling near and far. He enjoys the beauty of nature and appreciates cultural diversity. A resident of Przemyśl.

Hanna Trefler

Secretary of the Cultural Exchange Foundation toTU toTAM. Graduate of SN (Polish Philology in Zielona Góra) and oligophrenopedagogy at UMCS in Lublin. For over a dozen years in the Foundation as secretary. Actively participated in Erasmus+ partner projects and all editions of the Brave Kids project since 2015. After retiring, she began her adventure with English. For several years she worked as a volunteer in a community center. Likes to get to know new places, learn new things. Vice-president of UTW in Przemyśl.

Statute of the Cultural Exchange Foundation toTU toTAM

The Foundation under the name of the Cultural Exchange Foundation toTU toTAM, hereinafter referred to as the Foundation, was established by Magdalena Jolanta Pardel, hereinafter referred to as the Founder, in the notary office of Katarzyna Różycka in Będzin at ul. Rybna 1 – Repertory A number 199/2009 of 6 October 2009.

Chapter I
General provisions
§ 1
  1. The Foundation under the name of “Foundation for Cultural Exchange toTU toTAM”, hereinafter referred to as the “Foundation”, operates on the basis of the Act of 6 April 1984 on Foundations (Journal of Laws 1991, No. 46, item 203) and the Act of 24 April 2003 on Public Benefit Activities and Volunteering (Journal of Laws 2003, No. 96, item 873, as amended) and this Statute.

  2. The Foundation has legal personality.

§ 2
  1. The seat of the Foundation is in Przemyśl.

§ 3
  1. The Foundation was established for an indefinite period.

  2. The minister responsible for the Foundation’s objectives is the minister responsible for culture.

§ 4
  1. The Foundation may use the abbreviated name toTU toTAM.

  2. The Foundation may use a distinctive graphic symbol.

  3. The Foundation uses a round or oval seal with the name of the Foundation and its graphic symbol.

  4. For the purposes of cooperation with foreign countries, the Foundation may use its name in foreign languages.

  5. The Foundation may establish badges and honorary titles and award them along
    with other prizes and distinctions to natural and legal persons who have made outstanding contributions to the goals chosen by the Foundation or to the Foundation itself.

§ 5
  1. The Foundation operates in the territory of the Republic of Poland and abroad.

  2. The Foundation may establish its representative offices in Poland and abroad.

  3. In order to effectively implement its goals, the Foundation may merge with another organization whose statutory goals are consistent with the goals of the Foundation.

  4. In matters of merger with another organization, the Founder is responsible, but his decision requires the consent of the Management Board to be effective.

  5. The Foundation is apolitical and not affiliated with any denomination.

Chapter II
The Foundation's goals, resources and principles of operation

§ 6

1. The purpose of the Foundation is:

  • Popularization of Poland in the world.

  • Nurturing the national and cultural identity of Poles, maintaining contacts with the Polish diaspora and Poles abroad and working to maintain ties with the Homeland

  • Disseminating knowledge among Poles about the countries of Latin America, Africa and Asia, the European Union and the world.

  • Promoting cooperation between Polish educational and cultural institutions and their foreign counterparts.

  • Initiating and supporting translation and linguistic activities,

cultural and religious studies.

  • Developing and strengthening understanding and a tolerant attitude towards minorities, different cultures and worldviews.

  • Activities for the integration of migrants.

  • Supporting the process of European integration and activities for the development of liberal democracy and civil society. Promotion and protection of freedom and human rights.

  • Establishing and maintaining contacts with EU member states

European Union, as well as others, in order to exchange experiences in various

fields of social and cultural activities.

  • Supporting activities for sustainable development, protection of the environment, animals and natural heritage.

  • Promoting and organizing activities in the non-governmental sector, including volunteering.

  • Engaging in humanitarian aid.

  • Stimulating and supporting creative social and cultural movements in local environments.

  • Promoting unconventional activities seeking new forms of artistic expression.

  • Supporting artists and presenting their work.

  • Action to equalize educational opportunities and access to culture,

continuing education.

  • Activation of seniors and intergenerational integration.

  • Social assistance, including assistance to families and individuals in difficult life situations and equalizing opportunities for these families and individuals.

  • Activities for the professional and social integration and reintegration of people

at risk of social exclusion.

  • Charitable activities.

  • Health protection and promotion, including medical activity within the meaning of the Act of 15 April 2011 on medical activity (Journal of Laws of 2018, items 2190 and 2219).

  • Activities for people with disabilities.

  • Activities for people with diabetes, including their families and socio-economic environment.

  • Activities supporting the development of technology, invention and innovation as well as the dissemination and implementation of new technical solutions in social and economic practice.

  • Activities supporting the development of communities and local communities.

  • Activities for children and youth, including children's and youth recreation.

  • Activities in the field of culture, art, protection of cultural assets and heritage

national.

  • Supporting and promoting physical culture and mental well-being.

  • Tourism and tourism.

  • Activities for the family, motherhood, parenthood, promotion and protection of children's rights.

  • Activities for non-governmental organisations and entities listed in Art. 3 sec. 3, within the scope specified in points 1–32a of the Act of 24 April 2003 on public benefit activities and volunteering.

  • Activities for social economy entities and social enterprises referred to in the Act of 5 August 2022 on social economy (Journal of Laws item 1812).

2. The above objectives are implemented in the form of unpaid and paid public benefit activities. The separation of paid activities and the change of their types is entrusted to the management board in the form of a resolution. Income from paid public benefit activities is used exclusively for conducting public benefit activities.

3. Public benefit activities may not be conducted exclusively for the benefit of the Foundation's members.

4. Conducting unpaid and paid public benefit activities requires accounting separation of these forms of activity to the extent that allows for determining revenues, costs and results, subject to accounting regulations.

§ 6a

The Foundation conducts free public benefit activities in the scope of:

  1. Organization of summer camps for children and youth, including children with disabilities, organization of training trips to improve knowledge of foreign languages, organization of camps for children and youth with diabetes, bicycle rallies

  2. Teaching Spanish to children and adolescents,

  3. Organization of foreign language courses, organization of training in the field of personal development of children, youth and adults, organization of training for socially excluded people, creation of educational materials and educational board games for children.

§ 7

The Foundation pursues its goals by supporting the intellectual, cultural and social development of children, youth, adults and seniors, regardless of their nationality, social origin, worldview and gender, in particular through:

  1. Implementation of projects of regional and supra-regional importance for supporting culture, education and sustainable development.

  2. Cultural, development, human rights and sustainable development education, as well as education for peace and conflict prevention.

  3. Organisation of workshops, seminars, lectures, conferences, debates, public consultations, trainings, courses, exhibitions, concerts, theatre shows, film screenings, happenings, competitions, reviews, festivals, summer schools, open-air events, youth exchanges, study visits, trips within the scope of implementing statutory objectives, fairs, promotion of regional products and other social campaigns.

  4. Organizing volunteering and professional internships for young people, adults and seniors.

  5. Scientific activities.

  6. Strengthening social integration with particular emphasis on people with disabilities and socially at-risk or excluded groups.

  7. Media activities, i.e. organizing and managing internet portals, producing radio, television or internet broadcasts and other media and multimedia projects related to the statutory activities of the Foundation.

  8. Publishing and disseminating publications consistent with the statutory activities of the Foundation.

  9. Popularization of the Foundation’s statutory activities in the media.

  10. Cooperation with local government and central administration institutions and Polish
    and foreign diplomatic missions, non-governmental organizations, economic sector entities and the media within the scope specified in the Foundation's objectives.

  11. Assistance to victims of catastrophes, natural disasters, armed conflicts and wars in the country and abroad.

  12. Paid public benefit activity.

  13. Supporting the professional development of Foundation members and other persons interested in its activities.

  14. Membership in organizations with statutory objectives consistent with the objectives of the Foundation.

  15. Forging local, regional and global partnerships.

  16. Other activities supporting the statutory activities of the Foundation.

Chapter III
Assets and income of the Foundation

§ 8

The Foundation's assets include the founding capital in the amount of PLN 600 (six hundred zloty) and other property acquired by the Foundation in the course of its operation.

§ 9

The Foundation’s income may come in particular from:

  1. Domestic and foreign subsidies, donations, subsidies and grants.

  2. Donations, inheritances, bequests from domestic and foreign sources.

  3. Income from gifts, collections and public events.

  4. Income from the Foundation's assets.

  5. Paid public benefit activity within the meaning of Art. 6 of the Act
    of 24 April 2003 on public benefit activity and volunteering
    (Journal of Laws No. 96 item 873, as amended).

  6. Interest and bank deposits.

7. Financial resources derived from personal income tax transferred under the terms specified in separate legal provisions, and other sources.

§ 10

The Foundation may collect its funds in Polish currency (PLN) and in foreign currencies in appropriate banks, in accordance with the provisions of Polish foreign exchange law.

§ 11

  1. All income earned by the Foundation is allocated exclusively to statutory activities.

  2. The statutory activity also includes the current activities of the Foundation.

  3. Income from the sources listed in § 9 may be used to achieve the Foundation's objectives only with respect for the will of the heirs or donors.

  4. In matters of acceptance of donations and inheritance, the declarations required by law are submitted by the Management Board of the Foundation.

  5. In the event that the Foundation is appointed to inherit, the Management Board shall submit a declaration of acceptance of the inheritance with the benefit of inventory if, at the time of submitting this declaration, the active assets of the inheritance exceed the inheritance debts.

§ 12

The Foundation is responsible for its obligations with all its assets.

§ 13

  1. Unless a resolution of the Foundation's Management Board specifies otherwise, the Foundation's fiscal year is the calendar year.

  2. The Foundation prepares an annual substantive report on its activities and makes it public, and also prepares and publishes an annual financial report.

  3. The Foundation submits the reports referred to in point 2 of this paragraph to the minister responsible for culture.

§ 14

  1. Natural and legal persons and organizational units without legal personality that make a donation or subsidy with a value exceeding, one-off or successively over a period of one year, the equivalent of EUR 5,000 (in words: five thousand euro), calculated according to the average exchange rate set by the National Bank of Poland on the day the payment is made to the account or cashier of the Foundation, shall obtain, if they express an appropriate request, the honorary title of "Foundation Sponsor".

  2. The title of “Foundation Sponsor” is personal in nature.

§ 15

The Foundation is not entitled to undertake activities consisting of:

  1. Granting loans or securing liabilities with the Foundation's assets in relation to its members, members of the Foundation's authorities or employees and persons with whom the employees are married or in a relationship of kinship or affinity in a direct line, kinship or affinity in the collateral line up to the second degree or are related by adoption, custody or guardianship, hereinafter referred to as "close persons".

  2. Transferring the Foundation's assets to its members, members of the Foundation's authorities or employees and their close persons on terms other than those applicable to third parties, in particular if such transfer is free of charge or on preferential terms.

  3. Using the assets for the benefit of the Foundation's members, members of the Foundation's authorities or employees, and their close persons on principles other than those applicable to third parties, unless such use directly results from the statutory purpose of the Foundation.

  4. Purchase of goods or services from entities in which members of the Foundation, members of its bodies or employees and their close persons participate, on terms other than those applicable to third parties or at prices higher than market prices.

Chapter IV
Bodies and Organization of the Foundation
§ 16

The bodies of the Foundation are:

  1. Board of the Foundation.

  2. Foundation Council.

Foundation Board

§ 17
  1. The Management Board consists of 1 to 5 members.

  2. The Management Board consists of: the President of the Management Board, the Vice-President of the Management Board and the Secretary of the Management Board and, in the event of expansion, the Members of the Management Board.

  3. The term of office of the Management Board is five years.

  4. The Founder is a member of the first Management Board and heads it as President of the Management Board.

  5. The members of the first Management Board are appointed by the Founder by way of a resolution.

  6. The next members of the Management Board to replace those who have ceased to hold this position or to expand the composition of the Management Board are elected by the Management Board in its full composition by a simple majority vote. In the event of an equal number of votes, the vote of the President of the Management Board is decisive.

  7. Persons supplementing the Management Board during its term of office shall hold their functions until the expiry of the five-year term of office of the Management Board which they supplemented.

  8. It is possible to elect the same person to the Management Board multiple times.

  9. The Founder may be appointed to the second and subsequent compositions of the Foundation's Management Board.

  10. The President of the Management Board, Vice-President of the Management Board, Secretary of the Management Board and other Members of the Management Board may be dismissed by a simple majority vote of the full Management Board.

  11. In the event of the resignation of any member of the Management Board from performing his or her function on the Management Board or the occurrence of objective reasons preventing him or her from performing his or her functions, a new member of the Management Board is appointed by the President of the Management Board.

  12. In the event of the resignation of the President of the Management Board from performing his function or the occurrence of objective reasons preventing the President of the Management Board from performing his function, the Vice-President of the Management Board automatically becomes the President of the Management Board until the expiry of the five-year term of office of the President of the Management Board who resigned or could not perform his function for objective reasons. After the expiry of this time, the procedure for selecting a new President of the Management Board is the same as in point 6, except that in the event of an equal number of votes, the vote of the Founder is decisive.

  13. Each member of the Management Board has the right to submit a written resignation from office, and the resignation is effective upon its submission to the Management Board in writing.

  14. Membership in the Management Board expires upon death or conviction by a final court judgment.

§ 18

The Management Board is responsible for all matters related to the existence and activities of the Foundation, in particular:

  1. Managing the Foundation’s activities and representing it externally.

  2. Preparation of multi-annual and annual activity plans for the Foundation.

  3. Management of the Foundation's assets.

  4. Acceptance of income from the sources listed in § 9.

  5. Development of the organizational structures of the Foundation.

  6. Establishing employment and salary plans and specifying the principles of remuneration for the Foundation’s full-time employees and the reimbursement of expenses incurred by volunteers, managing work related to the implementation of the Foundation’s statutory objectives.

  7. Preparing a report on the Foundation's activities.

  8. Making decisions together with the Founder on the Foundation's accession to associations
    and other organizations or on the merger of the Foundation with another organization.

  9. Making decisions on the liquidation of the Foundation.

  10. Appointment of the liquidator of the Foundation.

  1. Indication of the foundation or institution to which the assets remaining after the liquidation of the Foundation will be transferred.

  2. Establishing badges and honorary titles and awarding them along with other prizes and distinctions to natural and legal persons who have made outstanding contributions to the goals chosen by the Foundation or to the Foundation itself.

§ 19
  1. The work of the Management Board is directed by the President.

  2. Meetings of the Management Board are convened by the President or a member of the Management Board authorized by him, and all members of the Management Board must be notified of the meeting.

  3. Meetings of the Management Board are held as needed, but no less than once every six months.

  4. The Management Board, in the ordinary course, adopts resolutions by a simple majority of votes of its members present at the Management Board meeting.

  5. Resolutions may also be adopted by circulation, in the form of agreement on their content by telephone, letter, e-mail or fax.

  6. All resolutions are signed by the persons adopting the resolution, and in the case of their adoption by circulation, they are signed at the next meeting of the Management Board.

  7. Resolutions are entered in the book of resolutions of the Management Board.

  8. To evaluate the projects undertaken by the Foundation, the Management Board may appoint consultants and their teams from among scientists or practitioners and commission them to prepare appropriate studies.

  9. Members of the Management Board may be in an employment relationship with the Foundation.

§ 20
  1. Declarations of intent on behalf of the Foundation, except for property matters, may be made by each member of the Management Board alone.

  2. In property matters, declarations of intent on behalf of the Foundation are made by: the President of the Foundation or the Vice-President of the Foundation individually or two members of the Management Board jointly.

Foundation Council

§ 20a

  1. The Foundation Council consists of 3 to 5 people.

  2. The members of the Foundation Council are appointed and dismissed by the Founder.

  3. Membership in the Foundation Council expires in the event of:

a) expiry of the term of office,

b) dismissal by the Council,

c) resignation of a member of the Council,

d) revocation by the Founder,

e) death of a Council member.

4. The term of office of the Foundation Council is 5 years. Persons supplementing the Foundation Council during its term of office hold their functions until the end of the five-year term of office of the Foundation Council which they supplemented.

5. The function of a member of the Council may be held for more than one term of office.

6. Members of the Foundation Council:

  1. they cannot be members of the Management Board or be in a marital relationship, cohabitation, consanguinity, affinity or service subordination with members of the Management Board,

  2. they cannot be convicted by a final judgment for an intentional offence prosecuted at the public prosecutor’s office or a fiscal offence,

  3. may receive, for serving as a member of the Foundation Council, reimbursement of justified costs or remuneration in an amount not higher than the average monthly salary in the corporate sector announced by the President of the Central Statistical Office for the previous year.

§ 20b

  1. The Foundation Council is a body with advisory, supervisory and control powers.

  2. The tasks of the Foundation Council include:

a) giving opinions on the long-term directions of the Foundation’s activities,

b) expressing opinions on matters submitted by the Management Board,

c) consideration and approval of the annual financial report and

reports on the Foundation’s activities,

d) signing agreements with members of the Foundation's Management Board and authorizing

Chairman of the Foundation Council to perform these activities,

e) determining the amount of remuneration of members of the Foundation's Management Board.

§ 20c

  1. The Foundation Council meets at least once a year.

  2. The Foundation Council elects the Chairman of the Foundation Council from among its members.

  3. Meetings of the Foundation Council are convened by the Chairman of the Foundation Council at the request of the Management Board, a member of the Foundation Council or on his own initiative.

  4. Meetings of the Foundation Council are chaired by the Chairman or a member of the Foundation Council designated by him.

  5. Resolutions of the Foundation Council are passed by a simple majority of votes, regardless of the number of members present at the meeting.

  6. Resolutions may also be adopted by circulation, in the form of agreement on their content by telephone, letter, e-mail or fax.

Chapter V
Final provisions
§ 21
  1. The Founder allows for the possibility of changing both the Foundation's statute and the Foundation's objectives.

  2. The Foundation's statute may be amended on the basis of a written resolution of the Founder.

  3. The consolidated text of the statute after making changes is prepared by the Foundation's Management Board.

  4. In the event of the Founder being permanently unable to undertake legal actions, this Statute may be amended by a unanimous decision of the Management Board
    in the presence of all members of the Management Board.

§ 22
  1. The Foundation may be liquidated at any time by unanimous resolution of the Management Board in the presence of all members of the Management Board.

  2. The Foundation shall be liquidated when the purposes for which it was established are achieved or when the financial resources and assets of the Foundation are exhausted.

§23
  1. The liquidators of the Foundation are appointed and dismissed by the Management Board of the Foundation.

  2. The assets remaining after the liquidation of the Foundation will be transferred to institutions operating in the Republic of Poland with tasks similar to the statutory objectives of the Foundation indicated in the resolution on liquidation.

§24

The statute was drawn up and signed in 5 identical copies.

§25

In matters not regulated by the Statute, the provisions of the Act of 6 April 1984 on foundations (Journal of Laws 1991, No. 46, item 203) and the Act of 24 April 2003 on public benefit activities and volunteering (Journal of Laws 2003, No. 96, item 873, as amended) and other currently applicable legal provisions concerning the activities of foundations shall apply.

§26

The Statute comes into effect on the date of registration of the Foundation in the National Court Register.
